Marvel also sold the rights to X-Men and Spider-man to help get out of bankruptcy and shot themselves in the foot on those deals. They get barely any residuals which is why when Disney bought them there was so much scampering to get the rights to Spider-man cartoons and Sony got additional time to make their next Spider-man movie.

Because he simply hasn't been optioned as yet, and Marvel Studios could easily make a claim to him being a part of the properties they own and are producing, so long as Fox do not use him first. However, I think it unlikely that Fox would use them outside of a Magneto Origins pic, which is now surplus to requirements, thanks to First Class.
From Feige's comments, it seems that Fox's option on X-properties is very broad but not complete, and they seem to have a good working relationship with Marvel Studios (whom they co-produce with) that they wouldn't risk.

To answer your second point:
I don't think one exists. It's a page that says "any X-property" and if they've not already used the character, then they have a quick discussion with Marvel Studios. Basically, any X-property could be used by Fox, but they're less likely to use crossover characters (as the intellectual property brand doesn't solely focus on their product) and unlikely to use any that Marvel Studios have expressed a close interest in.
On the flip side, the same is true for Marvel studios; they're much less likely to use crossover characters for fear of diminishing the brand, so if any are used, then expect a major character overhaul for the Marvel Cinematic Universe.**
The two studios have quite a close working relationship, so any character choice is likely to be amicable.
**EDIT - for example, were Wanda and Pietro to be used in the MCU, then while they man remain brother and sister it's likely their parentage wouldn't be mentioned at all, or explicitly reworked, and their powers will likely derive from SCIENCE! rather than mutation. Possibly some super-soldier program cast-offs, to tie them in to the other properties, as we know via other movies that the MCU US Government has been actively pursuing super-solder programs.

Makes me upset that Sony gave the TV rights to Spider-Man back to Marvel because they could have kept making new episodes for Spectacular Spider-Man until they got their 65-episode goal. But I feel that Sony could have produced the 65-episode set as Toei does with One Piece by producing 52-episodes a season on a weekly basis instead of the mundane 13-episodes a season.
